Norway : after retreating a few years ago because of heavy losses, Datatec is back in Norway under its Westcon Convergence business unit. The company is managed by Martin Flensburg, while Jonas Olsson is local sales manager. Westcon Convergence focuses there on Avaya and Siemens products (source : IT Bransjen Norge).

Lawyers investigating Avnet/Bell merger
United States : US based law firms Kendall Law Group, Robbins Umeda LLP and Levi & Korsinsky are looking into the sale of Bell Microproducts to Avnet, whether a fair process was used prior to entering into the merger agreement and whether the Bell Board of Directors breached their fiduciary duties by not seeking a deal that would provide better value of the Company. According to these companies as well as some market analysts, the price asked for Bell Micro could (should ?) have been higher, given Bell turnover. But the distributor also had bad years, with poor profitability and even losses in 2008. Don Bell’s age (71 y.o.) may also be an element of the sale (source : Storage Newsletter).

Avnet to acquire Bell Microproducts
Giant American multispecialist Avnet has entered into a definitive agreement to acquire storage and security specialist Bell Microproducts in an all cash merger for €5.20 per share, which equates to an equity value of approximately €187.29m and a transaction value of approximately €441.48m assuming a net debt position for Bell of €254.16m at face value as of December 31, 2009. The acquisition has been approved by the Boards of Directors of both companies and is subject to the approval of Bell’s shareholders as well as customary regulatory approvals. The transaction is expected to close in 60 to 120 days.
Given Avnet organization, Bell should be either kept as a separated division or, most certainly, be merged into its Technology Solutions business unit. In EMEA region, Bell Micro is present in Belgium, France, Germany, Ireland, Spain, Sweden, the Netherlands and the United Kingdom. Avnet Technology Solutions is, on its side, present in Austria, Belgium, Czech Republic, France, Germany, Hungary, Ireland, Italy, Poland, Portugal (which was very recently opened), Romania, Slovakia, Spain, Switzerland, the Netherlands, the United Arab Emirates, the United Kingdom and Turkey. This acquisition should mainly strengthen Avnet positions in storage and industrial computing.
