Mainline and Daisy set to acquire Exertis airtime base

United Kingdom: the mobility division of broadliner Exertis has agreed to sell its airtime business to rivals Mainline and Daisy. Exertis entered the airtime space three years ago, amassing a base of around 22,000 connections across Vodafone, O2 and EE. At its peak, it was connecting 1,500 SIMs a month on average. It confirmed last month it planned to exit the market after conceding it would never likely become a leading player as a result of consolidation in the market, most notably EE's acquisition of rival Mainline. All EE connections, Exertis' biggest operator, will be moved to Mainline in the coming weeks. All O2 and Vodafone connections will switch to Daisy. Details on the sale price or value of the base is confidential and could not be discussed. Exertis has already communicated the news to its 80-plus dealers who will be affected by the change, although it insists disruption levels will be kept to an absolute minimum. No staff at Exertis have been affected by the decision, with those in airtime being redeployed (source: Mobile News United Kingdom).

New deals for Beta Distribution, Daisy Distribution, Mayflex, Sigma Software, a new service for Westcoast and a new owner for Espion

British Isles: in the United Kingdom, print and supply specialist Beta Distribution has been appointed as a distributor for the Samsung range of Wireless LAN solutions for business. This latest appointment adds to Beta's already existing Distribution partnerships with Samsung Print and Samsung SSD. Mobile telephony specialist Daisy Distribution has formed a new partnership with ultrafast business broadband provider Virgin Media Business1. The deal means channel partners can now sell Virgin Media's ultrafast business broadband bundles through the distributor. Cabling and networking specialist Mayflex has formed an agreement with Netscout Systems, to distribute its portfolio of service assurance and cybersecurity solutions including LinkSprinter, LinkRunner and AirMagnet networking test equipment and wireless network analysis software, which were previously sold under the Fluke Networks brand2. Software specialist Sigma Software Distribution has been named as Dell's first approved distributor for its Systems and Information Management portfolio in the country. Sigma has also unveiled a suite of new programmes and promotions to support channel partners who want to capitalise on this market. Broadliner Westcoast has launched a new pre-delivery inspection service for printers to help eliminate DOA (dead on arrival) headaches for resellers. The service – the first of its kind offered by a local distributor – follows the opening of a brand new dedicated facility at Westcoast's headquarters in Theale. The new service is available for reseller partners on most major brands including HP, Lexmark and other brands not distributed by Westcoast. Finally, Irish security VAD Espion, its British subsidiary Espion UK and its Belgian subsidiary Espion Europe are to be acquired by British Standards Institution (BSI). The deal – terms of which were not disclosed – will see Espion become an operating subsidiary of BSI's Professional Services business trading under the name, Espion – A BSI Professional Services Company. The acquisition of Espion expands BSI's professional services business which has grown its consultancy capability globally following recent acquisitions in the US. It also reinforces BSI as the authority in information resilience having been the originator of the internationally recognised ISO 27000 series of information security standards and is the global leader in providing training and certification to ISO 27001, the established best practice in information security management systems (ISMS) (source: Comms Business UK 1 and 2, Dealer Support UK, PCR UK, TechCentral Eire).

Neil Muller quits Computacenter for Daisy

United Kingdom: Neil Muller, who has been Computacenter's managing director since 2011, has joined Daisy Group (and its distribution arm Daisy Distribution) to become its new CEO. Matthew Riley, who founded Daisy in 2001 and has grown the company's turnover to €435m, will remain active within the business, taking the position of executive chairman.

United Kingdom: telephony specialist Daisy Distribution has added HTC to its hardware portfolio with the aim of increasing HTC's share within the business' handset mix by 5%.

Daisy agrees €602m offer from CEO's consortium

United Kingdom: Daisy Group, which owns telephony specialist Daisy Distribution, has agreed a €602m takeover deal by Chain Bidco, a consortium which includes chief executive Matthew Riley and Toscafund Asset Management Penta Capital. The recommended offer represents a premium of approximately 16.4% to the closing price on 25 July, the last business day prior to the consortium's approach. The offer values the entire issued and to be issued share capital of Daisy at approximately €602m. In addition, the offer implies an enterprise value multiple of approximately 11 times Daisy's adjusted EBITDA of €70.5m for the 12 months ended 31 March and an equity value multiple of approximately 13.4 times Daisy's adjusted EPS for the 12 months ended 31 March.
