Midwich enters the Dutch market
Netherlands: AV broadliner Midwich has acquired a majority stake in AV specialist van Domburg Partners. Van Domburg joins Midwich offices in Australasia, France, Germany, Ireland, Spain and the United Kingdom. Stephen Fenby, Managing Director Midwich Group, commented: "the acquisition of Van Domburg marks Midwich's entry into the Benelux markets, enabling the Group to trade with a broad customer base across a variety of customer segments. The addition of this territory to the Group’s portfolio increases Midwich's geographical coverage, with the Group operating in territories which account for approximately 70% of the European audio visual market. I look forward to welcoming the van Domburg team into the Midwich Group, and working with them to further develop this exciting market."
The acquisition signals Midwich's entry into the Benelux, a market the Group has identified as important in its international expansion. The acquisition is further delivery of the Group's strength to grow its operations through a combination of organic developments and selected acquisitions. Midwich will acquire a majority stake from the two joint Managing Directors, with the option to acquire the remaining shares over the next three years. The Company's Managing Directors will continue to be responsible for the management of the business, and will remain in their current positions.
Rick ter Wee and Ed van Domburg, the managing directors of Van Domburg, commented: "from the outset of our conversations with the Midwich Group, the synergies between our two businesses were evident. With our strong local position, and with the backing and support of Midwich, it is clear this exciting partnership will enable Van Domburg to continue our growth in the audio visual, and high-end lighting markets. Midwich's audio visual specialism, and international market leading position made them the ideal partner for us. We look forward to working closely with them to develop our business in the Benelux."
Headquartered near Rotterdam, Van Domburg is a market leader in the Dutch large format displays market. In recent years, it has developed its technical video product portfolio, offering solutions in digital signage, control and connectivity amongst others. As well as leading the Dutch market in large format displays, its subsidiary "Dutch Light Pro" distributes high-end lighting products primarily to electrical contractors and installers. A key part of the company's proposition is to provide lighting design consultancy services.
Thomas Sumner, European Director Midwich Group, commented: "as with any Midwich acquisition our focus will continue to be on enhancing the service and support we provide our customers and vendor partners. We are delighted a market leader in specialist audio visual distribution has again decided to join the Midwich Group. We look forward to working with them and investing in this important market."

Midwich goes south with Earpro
British AV broadliner Midwich has entered into a binding agreement to acquire a majority stake in Spanish AV VAD Earpro. The acquisition values the equity of Earpro at approximately €11m, including a net cash balance of approximately €3.2m. Managing Director Miguel Mezquita retains a stake in the business and will continue to lead the business as part of the Midwich Group. The Earpro business, headquartered in Barcelona enables the entry of the Midwich Group into the Spanish and Portuguese markets. The acquisition is further delivery of the Group's strategy, stated at IPO to grow operations through a combination of organic development and selective acquisitions.
Stephen Fenby, Managing Director Midwich Group, commented: "I am delighted to welcome Miguel, and the rest of the Earpro team to the Midwich Group. Spain and Portugal are markets we've identified as significant to the Group's international growth ambitions. The addition of this territory to the Group's portfolio increases Midwich's geographical coverage, with the Group operating in territories which account for approximately 60% of the European audio visual market. We will look to continue strengthening the Company's position in the professional audio market, and support the business to build its lighting and video technology divisions, namely in Italy, the Netherlands, Poland and Switzerland." Earpro's heritage in the audio market has enabled the business to develop its sales in complementary video and lighting technologies. As a market leader in professional audio distribution, the business has a strong platform to develop video and lighting sales through its existing customer base.
Miguel Mezquita, Managing Director Earpro, commented: "From the outset of our conversations with the Midwich Group, the cultural and operational synergies of our two businesses were evident. This new partnership will enable us to continue our business's development in the professional audio, video and lighting technology markets with the support and backing of an experienced international audio visual specialist." Specialist services provided by the Company include: system design, pre-installation product configuration, pre and post sale technical support, product demonstrations, and product repairs. Through its portfolio of leading vendors, Earpro will continue to provide the complete audio solution to the professional market. This includes sales of product technologies in microphones, mixers, amplifiers, sound systems, public address systems, ear monitoring systems and digital system processors (DSP), along with their lighting and video technology ranges.
Tom Sumner, Midwich European Director, commented: "The Midwich Group has experience of international acquisition in Europe (in France and Germany) and Australasia where our approach has been to address these markets through strong local teams. We will continue this with Earpro, providing support where we can. We are excited to work with the Earpro team, and will look to maximise the business synergies across the Group's organisations. Our primary focus will remain on continuing to enhance the support and service we provide customers and vendor partners."
Midwich eyes European M&A
AV broadliner Midwich is set to continue on the acquisition trail this year after announcing a revenue increase of 17.8%, according to managing director Stephen Fenby. Midwich floated publicly in May last year and quickly followed the IPO up with the acquisitions of UK broadcast specialist Holdan and New Zealand-based Wired in September. Fenby said that, while he would not rule out further UK acquisitions, mainland European activity is more likely as the distributor looks to move into new territories - with "a number of conversations ongoing". Fenby said he is "hopeful" that some acquisition activity will be announced this year. "Very much top of the agenda is the development of our network, particularly across [the rest of] Europe", he said. "That process takes time to get to know the management team, it takes time for them to get to know us, so we don't just go in with a chequebook and say ‘off you go' - we want them to stay and we want to work with them. Those acquisitions can take a bit longer, but hopefully when we get them we've got the right ones with a high-calibre team and then the vendors know that there is another new territory that we're in that they can come and work with us in." AV broadliner Midwich is from now on exclusively distributing a range of Samsung E-board Interactive products in Eire and the United Kingdom. The AV distributor will be managing the full E-board Interactive portfolio consisting of Samsung Displays 81cm and above; Samsung's offering for education; as well as new Interactive products for corporate and retail environments being launched during 2017. Midwich sees the engagement positively for the AV channel, especially as Interactive displays are a key growth area within the sector. The distributor has a long history of working with leading display brands, and this new partnership complements and extends existing touch screen options for reseller partners. Samsung has a strong presence in both countries, and its products align to many different vertical markets from education to corporate, where there is shifting demand from standard LFD to ILFD.
Thomas Brittain, Head of Display Channel Sales at Samsung Electronics, commented: "It is great to partner with Midwich on such a strategic category for Samsung UK. This addition enhances the full display range already provided by the Midwich Group and gives Samsung real focus in this area. We are particularly excited to work with the dedicated interactive sales team in situ and grow this category for both Midwich and Samsung in 2017." Richard Bovingdon, Midwich Head of Interactive Sales, said: "we're absolutely delighted to be deepening our relationship. As well as being the number one digital signage brand globally, Samsung has an Eire and market share of 43% for large format commercial displays. This coupled with its reputation for manufacturing high-quality displays, and investment into R&D provides Midwich with the confidence to deliver the most appropriate touch display solution across several verticals." Lloyd Platt, Senior Product Manager for Samsung Commercial Displays at Midwich, added: "Midwich and Samsung already have a strong relationship across various technologies and our value added business model has supported our resellers and system integrators with Samsung large format displays from digital signage solutions to multiple verticals including education, retail and transport. We have technical specialists with the right expertise, and now it's natural that we now take Samsung’s Interactive products to market."
To support its resellers further, Midwich is preparing to recruit dedicated Samsung Interactive Support to ensure that Midwich expertise and customer service remains unparalleled. Samsung Interactive products offer leading edge features that enable end users to customise and build the right solution; with options to utilise the inbuilt OS, plug-in the optional android box, and access the educational app store. This variety of options enables end users to benefit from as rich or as simple functionality as they require. Samsung has also focused on the end-end experience for deployment in a real-world environment. Additionally, the System on Chip (SoC) is unique as it allows complete management and control over a network and screens can be easily adapted for digital signage purposes.
