SYNNEX to acquire large chunks of Westcon-Comstor

American distributor SYNNEX Corporation and South African group Datatec have unveiled a definitive agreement in which SYNNEX will acquire Datatec's Westcon-Comstor Americas business and become a minority shareholder in Datatec's Westcon EMEA and APAC businesses. "We believe this is a unique opportunity that is transformational to SYNNEX and is aligned to our strategy of positioning the business to where technology is growing. Westcon-Comstor is a recognized leader in the security, UCC and networking space", stated Kevin Murai, President and CEO of SYNNEX Corp. "The Westcon-Comstor brand has been built over time by a very deep and talented team and we are excited to welcome the Americas team to our family."

Jens Montanana, CEO of Datatec, stated: "I'm proud of our team and the business they have built over the past thirty years. The SYNNEX culture is similar to Westcon-Comstor and I'm excited about the opportunity to grow our businesses together on a global scale. We share a common vision and strategic objective in addressing the global complexities and emerging demands facing our partners."

Here are the transaction details and the impact of the acquisition to Consolidated SYNNEX Corporation Financials:

  • €460M in stock and €90M in cash at closing
  • Up to €185M earn out if certain financial targets are achieved through Feb 2018 - which will allow Datatec to own about 10% of SYNNEX
  • €27.7M for 10% ownership of Datatec's Westcon EMEA and APAC businesses (with an option to double that ownership, although no details have been unveiled on how and when). Synnex also gets first refusal on making an offer to acquire it in its entirety if Datatec ever looks to sell the remainder of the business in the future, out of which Datatec wishes to get better value in the future, once the (difficult as usually) SAP implementation in the region is achieved.
  • Approximately €106 million of net debt will be assumed and refinanced with the close of the transaction
  • Option to pay all cash, based on the average share price at closing
  • If stock is issued, the SNX Board of Directors will appoint Jens Montanana to the SYNNEX Board of Directors, subject to compliance with legal and regulatory requirements

For its fiscal year end ended February 28, 2017, the Westcon Americas business generated approximately €2B of revenue and approximately €82m in EBITDA. In the first 12 months after close, the Westcon Americas business, excluding integration costs, transaction expenses and intangible amortization, is expected to be mildly accretive to SYNNEX Non-GAAP EPS and then accelerate in year two. The transaction is expected to close in the third calendar quarter of 2017, subject to the satisfaction of regulatory requirements and customary closing conditions. Until the transaction is completed, the companies will continue to operate independently.

Appointments and new vendors for Cyren, Genuine Solutions, Nimans and Pragma

United Kingdom: cloud VAD Cloud Distribution has signed Cyren, a provider of cloud-based data security solutions, as a new vendor. According to Cyren, "in order to grow business in the UK market, we needed a distributor with strong expertise in SaaS-based solutions." Atif Ahmed, Cyren vice president of sales for EMEA, said: "Cyren's SaaS web and email security products are poised to dramatically disrupt the appliance-based approach to security. We partnered with Cloud Distribution because of the company's proactive approach, channel enablement tools, inside sales capabilities and support programmes, as well as its ability to create the right type of partner base in order to accelerate market adoption."

Meanwhile, Andy Tow, who was the managing director of telephony specialist Genuine Solutions, has left the accessories distributor following the conclusion of a nine-month contract. Tow's departure is the latest development to Genuine Solutions' management team, which has seen the recent appointment of an HR director, supply chain director and head of IT, with plans to recruit a new head of marketing and further account managers.

Telecom VAD Nimans has appointed Stephen McIntyre as its new CMO, to build on the company's high profile industry presence. Stephen is responsible for driving the 15-strong internal team further forward – spanning various disciplines such as digital and print-based communications. He brings a wealth of experience to the role having worked in a variety of senior marketing positions where he led and delivered strategic marketing plans, as part of a 32-year career. His most recent role was with Ultraframe, Europe's leading manufacturer of conservatory roofs and extension systems.

Finally, Ericsson VAD Pragma Distribution continue to build its leadership team with Neil Haining joining as operations director. Neil brings many years experience within the communications and distribution market with senior roles at both Westcon and Crane. Tim Brooks, Pragma managing director, commented: "The business has grown rapidly over the past few years and 2016 was no exception with 30% growth year on year. Recruiting Neil means we can continue to build and scale the business and keep delivering the service which our partners value and trust." Neil is responsible for technical support, cloud infrastructure, warehouse, inventory, billing, provisioning and order management (source: Mobile News United Kingdom and Comms Business United Kingdom).

Arrow closing Stockport office and considering nearshoring move

United Kingdom: infrastructure VAD Arrow ECS is shutting its Stockport office and is, separately, considering nearshoring some back-office functions to Poland. The small north-western satellite office, which handles some of Arrow's Symantec and Veritas business, is set to close in December, according to sources. Arrow owes its Stockport presence to Codework, a Symantec distributor it inherited through its 2012 acquisition of Altimate, which had bought Codework two years earlier. The building is still owned by Codework founder Divyesh Lakhani. Arrow declined to comment but one source said a formal letter had been sent to staff this week informing them that the office may close and that they may be made redundant. Verbally, employees had previously been told in a staff meeting that the location is definitely surplus to requirements, the source added. The potential of some staff working from home has also apparently been raised.

The closure comes as multiple sources said Arrow ECS has over recent months been examining the possibility of moving some UK back-office functions out to Poland. This would be in line with several of its competitors including Ingram Micro, which has centralised some EMEA functions to Bulgaria, and Westcon, which is in the process of shifting some back-office functions out to Romania. One source felt the two events could be loosely linked in that some of the Symantec order processing functions carried out in Stockport could be the type of functions Arrow is considering moving to eastern Europe (source: Channelweb United Kingdom).

Steljes goes bankrupt

United Kingdom: AV VAD Steljes has unexpectedly gone into administration after 29 years on the market. The company has seemingly had liquidity issues over the past year, a situation bad enough, which went even worse when interactive whiteboard vendor Smart Technologies broke their exclusive distribution agreement some months ago, with Westcon UC&C. According to the distributor, most of the 100 employees have gone (among which David Scott, the former Smart product category manager who joined competitor Eurosimm as Prowise product manager), a small team remaining to work on the administration process, looking for a potential buyer of the business, as a whole or in parts depending on interest (to date, parts of stocks and assets have been acquired by Midwich, Premier Group and Avocor, according to sources). The Steljes Rentals, AdriaticsHungary and Ireland businesses are seemingly unaffected by the administration (beside minor changes in legal management). Regarding Steljes vendors, including recently-signed Nureva, they are weighing their options and eventually looking for new distributors, some of them having lost a total of up to €7.5m.

New vendors for Big Tec, Westcon, Distology and Infinigate, and a new offer for Entatech

United Kingdom: SMART Technologies has expanded its go-to-market (GTM) model for the United Kingdom at network and telecom VAD Westcon UC&C will now supply SMART education and enterprise products and solutions throughout the country. SMART will work directly with channel partners, making it easier than ever to purchase SMART's market-leading collaboration solutions for both the enterprise and education markets. Westcon will now distribute the latest SMART products including the interactive flat panel, SMART Board 6075 and the 213,4 cm SMART Board 4048. Through this new GTM approach, SMART partners and customers will see streamlined access to SMART solutions and experts as well as the tools and support partners need to succeed. "We are delighted to now represent the entire portfolio of SMART collaboration solutions in the UK", said Garry Boon, General Manager Westcon UC&C. "SMART is revolutionising the education and enterprise market with software and hardware solutions that are differentiated by their deep understanding of true collaboration. We are delighted to now offer SMART's full product suite in the UK along with a set of broad sales and support services for the UK market."

On its side, datacenter VAD BigTec has struck a distribution agreement with Nuage Networks from Nokia, a provider of software-defined networking (SDN) solutions for enterprise datacentres. The deal was announced at the BigTec Live 2016 event in London, along with more details about the full BigTec UK reference architecture. Big Tec UK will distribute the full Nuage Networks portfolio, which today includes the Virtualised Services Platform (VSP), Virtualised Network Services (VNS) and Virtualised Services Assurance Platform (VSAP).

US security vendor Confer is expanding into Europe after inking its first distribution deal with network and security VAD Distology1. The specialist in endpoint detection and response (EDR) says it wants to recruit channel partners for its Converged Endpoint Security platform. It will have a dedicated team based locally, in addition to Distology's presence. While the firm won't reveal how many channel partners it has, or what percentage of sales are indirect, it says it is operational in 60 countries and has seen "a marked increase in demand for our platform in Europe since last year".

British cyber-security vendor Becrypt has added security VAD Infinigate to its distribution line-up in a bid to expand beyond its public sector and government stomping ground into the commercial market. The company says the new partnership gives it additional scale and reach enabling it to work with resellers that they would not be able to reach on their own. Infinigate joins incumbant distributors Sigma Software Distribution and Wick Hill. Becrypt currently has about 150 resellers and says it is looking to recruit more through all of their distribution partners, as cyber security becomes more important to all businesses, not just the traditionally security conscious organisations. All of Becrypt's product portfolio goes through partners2.

Finally, broadliner Entatech has launched a range of refurbished desktops, laptops and tablets under a new brand - PC Retour. The distributor has partnered with Microsoft to provide its resellers with "premium, refurbished PC hardware and devices". The distie said that all PC Retour devices will be put through a rigorous testing and grading processes and will be loaded with a certified Microsoft operating system. All refurbished hardware is to come with a full 12 month end user warranty, directly supported by the refurbisher. Entatech aims to capitalise on the growing demand for refurbished hardware in the SMB market, with users looking for premium equipment at discounted prices. Sold through Entatech's network of resellers, the distributor believes that the new brand will be a win-win for everyone involved. Customers will maximise their IT budgets, while resellers will see improved oppurunites and margins. "Entatech has an exceptionally strong presence in the Microsoft Refurbisher space through our Windows footprint", said Dave Stevinson, managing director.
